I currently do alot of fibreglassing of sub boxes etc and I tend to use mostly marine grade materials including fibreglass matt resin and filler.  A friend wants me to fill in two holes in the new fibreglass front clip he purchased and I was wondering how I would go about doing it to make sure it bonded together properly.

I would sand it down a bit, glass the area, bondo the sides then sand it smooth. Make sure to get all the primer (if any) off the area then glass it, it shouldn't be too hard to get a good bond out of it though.

is there any special time of primer needed when painting on fibreglass.

I use the duralast (sp) filler primer, i like it because its a strong, sandable primer that will fill in any small marks from prior sanding, but there are planty of other bands you can use too, shop around a bit first to see whats available.

if there is ANY paint on the area you are bonding then the two will not stick well if at all. Make sure that you scuff the surface of the bonding points to make scratches for the Resin to bond to its hard to glue to smooth surfaces together. make sure its clean of dirt and moisture. and if at all possible bond on booth sides as this "sandwitches" the three layers.. bondo it and sand it.. but the surfaces have to be clean.
