I had to work on a 98 XJ8 recently that was giving problems....Chip in key AND a factory alarm/imobiliser the alarm is physically under the electronics box adjacent and inboard of the battery, also an LED in front of gearshift. N.B. I didn't do the original install but it was nicely done, when you attempted a remote start the factory alarm cut in yet the Clifford alarm normally was  was turning the factory alarm on and off via the locks. I found that if you disconnected the factory unit everything worked but you lost the trunk release, fuel release, brake lights and indicators, unfortunately it was data controlled and I couldn't get round it. Tried conecting keysense from the GWR output to no avail.

even though there IS a transponder, you will have a problem with the factory alarm. Howie and I have discussed this before on these cars and i am also trying to work a way around it. (sorry Howie, but I did have that one for quite some time and couldnt do much about about it, the same problem you had, thus i havnt gotten back to you yet) I'm now currently trying to get the schematic of the internals Howie because i do believe even though the disarm is data controlled the functions that are lost when the unit it disconnected are not and as such i believe there still may be a way around it. once i have that schematic we'll know. ill email it to you as well for your own reference.
