so should i mount it close or farthest away as i can from the amp?

It really doesn't matter, just don't mount it to the box.

If you have to mount it to the box, if small enough, put it on the side. I had my amp mounted to the back of my box in case I needed to remove my box quickly to make room in the trunk. I finally moved it to the side of the trunk wall of of the floor. Don't put your amp on the box, the vibrations from the box will shake some vital stuff a loose in your amp. Use a piece of plywood, mount it to the back of your rear seat or to the trunk frame and mount your amp to that. Don't mount the amp upside down or you'll have heat issues. You'll be ok.
