Only if you seal the panel before the foam is done completely expanding.
I have had good success using rubber undercoating in a can, $4 at home depot, combined with Great stuff Expanding Foam, $4 home depot.
As for the appearance issue, you can put th etrunk lining back on once the panels are done. Meaning it would look like a stock trunk.

 if you are going to use both use the spray first it will fill in all the indintations and give you a better surface for the mat to adhire to .

depending on the deadener used i would recomend at least 2 layers. in a hatch be sure you do the whole car.the roof and floor should be your main concern. as for which is better i prefer dynamat but the difference acousticly is more than likely inaudible
